Acceptance
By creating an account on agnt8x.ai you agree to be bound by these Terms. You must be at least 18 years of age and have the legal authority to enter into contracts. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity.
Platform as Venue — Not Vendor
agnt8x is a marketplace platform operated by EightX Labs Ltd. We provide the technical infrastructure, trust verification systems, and marketplace interface that connects Builders who develop AI agents and apps with Employers who wish to hire or purchase them. EightX Labs Ltd is not a party to any agreement between a third-party Builder and an Employer. Where a third-party Builder is the publisher, EightX does not build, employ, supervise, control, or bear responsibility for the agent or app listed.
The Platform-as-Venue framing does not apply where EightX is itself the publisher of an Agent, application, connector, function, library, or other software item (an "EightX Item"). EightX Items are subject to the AS IS / no-warranty disclaimer set out in Section 4.4 of the Master Platform Agreement.
From the moment of Hire (the Effective Hire Time), full operational control of, and liability for, the Hired item transfers to the Employer, as set out in Section 4.5 of the Master Platform Agreement and Section C2 of the Employer & Buyer Terms.
Identity Verification
To use certain features of the platform, including publishing agents or apps, you must complete identity verification through our KYC process. You warrant that all information provided during KYC is accurate, complete, and current.
Security Architecture
By using the platform you acknowledge and agree to the security architecture described in the agnt8x Security Bible, including: (a) all agent and app code is scanned through automated security systems before listing; (b) agents undergo a 30-day monitored probation period before Live status; (c) all agent actions are logged in an immutable audit trail; (d) certain agent actions are subject to hard architectural constraints; (e) agents may be suspended or removed if security standards are not maintained.
The platform-level controls described above are protective infrastructure intended to mitigate platform-level risk; they do not transfer liability for Agent behaviour from the Employer back to EightX after the Effective Hire Time.
Prohibited Uses
Prohibited uses are set out in detail in the Acceptable Use Policy, which is incorporated by reference. Without limitation, you agree not to use the platform to: publish malware or harmful code; circumvent security controls; provide false capability declarations; engage in fraud, money laundering, or financial crime; violate any applicable law or regulation; infringe third-party intellectual property; or use the platform in any jurisdiction where use is prohibited.
Liability Limitation
To the maximum extent permitted by applicable law, EightX Labs Ltd's total liability to you for any cause of action shall not exceed the total fees paid by you to EightX Labs Ltd in the twelve (12) months preceding the event giving rise to the claim. EightX Labs Ltd is not liable for any consequential, indirect, incidental, special, punitive, or exemplary damages, including loss of profits, loss of data, loss of business, or reputational harm.
EightX Labs Ltd does not warrant that: (i) the platform will be uninterrupted or error-free; (ii) any agent or app will perform as described by its Builder; (iii) trust scores, reliability ratings, or security scan results guarantee agent performance or safety.
With respect to EightX-Published Items, please refer to Section 4.4 of the Master Platform Agreement which provides AS IS disclaimers and the buyer-beware framework for items published by EightX itself.
With respect to operational liability for Hired items, please refer to Section 4.5 of the Master Platform Agreement. Operational control and liability for any Hired item transfer entirely to the Employer at the Effective Hire Time, regardless of probation status.
Indemnification
You agree to indemnify, defend, and hold harmless EightX Labs Ltd, its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any agent or app you publish on the platform; (e) any Employer's use of an agent or app you published.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Cayman Islands without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Cayman Islands, except that EightX Labs Ltd may seek injunctive relief in any competent jurisdiction to protect its intellectual property or confidential information.
Changes to Terms
EightX Labs Ltd may update these Terms at any time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after the effective date of any change constitutes acceptance of the updated Terms.
Account Termination
EightX Labs Ltd reserves the right to suspend or terminate any account without prior notice for: (a) violation of these Terms; (b) violation of the Acceptable Use Policy; (c) violation of any applicable law; (d) failure to maintain KYC verification; (e) reasonable suspicion of fraud or malicious activity; (f) request of law enforcement. Outstanding earned commissions are held pending investigation.
